KUZU LOGISTICS

1. Scope of application
(1) These General Terms and Conditions apply to all contracts for transportation servicesbetween KUZU LOGISTICS and the customer, regardless of whether the customer is aconsumer (Section 13 BGB) or an entrepreneur (Section 14 BGB).
(2) Deviating terms and conditions of the customer shall only become part of the contract ifKUZU LOGISTICS expressly agrees to their validity in writing.
2. Conclusion of contract
(1) The contract is concluded exclusively by the client's request and the subsequent submission of an offer by KUZU LOGISTICS as well as the acceptance of this offer by the client.
(2) Inquiries via the website, e-mail or telephone do not constitute binding offers.
(3) The offer shall be accepted in writing, by e-mail or by express confirmation.
(4) KUZU LOGISTICS reserves the right to reject inquiries or revoke offers at any time as long as no contract has been concluded.
3. Scope of services
(1) KUZU LOGISTICS shall provide transport, courier and logistics services in accordance with the conditions set out in the conditions specified i the offer.
(2) Special services (e.g. express deliveries, loading and unloading assistance, temperature-controlled transportation) require a separate agreement and will be charged additionally.
(3) KUZU LOGISTICS is entitled to use subcontractors to fulfill the contractual services.
4. Prices and terms of payment
(1) Unless expressly stated otherwise, all prices are in Euro net plus statutory VAT.
(2) Invoices are due for payment immediately upon receipt without deduction, at the latest within 21 days.
(3) Consumer prices are shown including statutory VAT.
(4) In the event of late payment, KUZU LOGISTICS reserves the right to charge interest on arrears at the statutory rate as well as reminder fees.
(5) In the event of continued non-payment of outstanding invoices, KUZU LOGISTICS reserves the right to commission a debt collection service provider or lawyer. The resulting legal costs, in particular court costs, costs of the enforcement bodies, investigation costs, etc. shall be reimbursed by the customer if they are claimed.
5. Cancellation and withdrawal
(1) Cancellation of the order by the client is only possible in writing (email is sufficient).(2) The following fees apply in the event of cancellation:
a) up to 48 hours before the start of transport: free of charge
b) 48 to 24 hours before the start of transport: 50% of the agreed transport price
c) less than 24 hours before the start of transport: 100% of the agreed transport price(3) In the case of express or same-day transport, free cancellation after the order has been placed is excluded; in this case, the full agreed price is always due.(4) If a cancellation is made after the start of the journey or during the execution of the order, the order shall be deemed to have been completed in full; the full price shall be payable.
6. Live tracking and temperature monitoring
(1) All KUZU LOGISTICS vehicles are equipped with GPS tracking and temperature monitoring.
(2) At the request of the client, a temporary link to live tracking and temperature monitoring will be provided for the duration of the specific transport order.
(3) The transmitted data is used exclusively for tracking and providing evidence to the client and will be deleted after completion of the transport, unless there are legal retention obligations.
(4) The transfer of the link or the transmitted data to third parties is expressly prohibited.
(5) Live tracking and temperature monitoring is an additional service and does not extend the contractual liability provisions of KUZU LOGISTICS.
7. Obligations of the client
(1) The client is obliged to provide complete and correct information on the type, nature, weight, volume and special characteristics of the goods to be transported.
(2) Dangerous goods, perishable goods or sensitive goods must be expressly notified before the order is placed.
(3) The client is responsible for proper packaging and labeling of the goods to be transported.
8. Special conditions for Pharmaceuticals & Healthcare
(1) Transports are carried out in accordance with GDP and with complete documentation. When placing an order, the client must specify the desired service in writing:
a) ThermoMedical (2–8 °C) – Transport of temperature-sensitive pharmaceutical products in a controlled range of 2–8 °C.
b) AmbientMedical (15–25 °C) – Transport in a controlled room temperature range of 15–25 °C.
c) MediSupply – Structured supply of medical facilities with non-temperature-sensitive products (e.g. practice, clinic or laboratory logistics).
(2) If information is not provided or is inaccurate, KUZU LOGISTICS shall not be liable for any resulting loss of quality or damage.
(3) Special requirements (e.g. narrower temperature ranges, additional security measures) require a written supplementary agreement and may be charged separately.
9. Special conditions for Express & Last Mile
(1) Compliance with the agreed time window is an essential contractual obligation.
(2) The client shall ensure that the shipment is ready for collection at the time of collection and that the recipient can be reached.
(3) Waiting times of more than 15 minutes per stop will be charged at €25 per 15 minutes or part thereof.
(4) If the shipment is not available at the pick-up location, the full agreed price will be charged.
(5) The service can be ordered as one of the following services:
a) ExpressNow – time-critical direct transport with the highest priority and immediate delivery.
b) NextDay – plannable express delivery with delivery on the next working day.
c) FinalMile – precisely organised delivery on the last mile for time-sensitive, location-specific requirements.
10. Special conditions for Refrigerated & temperature-controlled logistics
(1) KUZU LOGISTICS transports sensitive refrigerated goods in three defined temperature zones; the client specifies the zone when placing the order:
a) FreshLine (0–7 °C)
b) CoolLine (8–15 °C)
c) FreezeLine (−18 °C and colder)
(2) KUZU LOGISTICS shall not be liable for any deviations due to missing or incorrect information provided by the client.
(3) The client shall be solely liable for any damage resulting from inadequate packaging, palletisation or labelling.
(4) Temperature monitoring and documentation shall be carried out in accordance with the contractual agreement; records shall be made available at the client's request.
11. Special conditions for Trade & Industry
(1) Transport is usually pallet-based; the client shall ensure that pallets are in perfect condition, properly secured and comply with the agreed weight/dimension limits.
(2) Overweight or incorrectly declared shipments may be rejected or subject to a surcharge of €50 per pallet.
(3) The client is solely liable for damage caused by inadequate palletisation or lack of load securing.
(4) Depending on the intended use, the following lines can be commissioned:
a) TradeLine – plannable goods flows in trade (e.g. branch deliveries, returns).
b) CargoLine – national/international transport of general cargo, pallets and partial/full loads.
c) FlexLine – flexible solutions that adapt to individual processes and changing requirements.
12. Liability
(1) The following applies to entrepreneurs (B2B):
a) KUZU LOGISTICS is liable in accordance with the statutory provisions of the German Commercial Code (§§ 407 et seq.).
b) liability for loss of or damage to the transported goods is limited to 8.33 special drawing rights (SDR) per kilogram of gross weight of the damaged or lost goods.
c) KUZU LOGISTICS is liable for damage caused by delay up to a maximum of three times the freight amount.
(2) The following applies to consumers (B2C):
a) KUZU LOGISTICS is not liable for slightly negligent breach of insignificant contractual obligations.
b) In the event of a breach of material contractual obligations, liability is limited to the foreseeable damage typical for the contract.
c) Liability for damage to life, body and health remains unaffected.
(3) Any further liability, in particular for indirect damage or loss of profit, shall be profit, are excluded to the extent permitted by law.
(4) At the express request of the client, a higher sum insured can be agreed against payment of costs.
13. Exclusion of the right of withdrawal
(1) A statutory right of withdrawal for consumers does not exist in accordance with § 312g para. 2 no. 1 BGB, as the services are individually tailored to the needs of the client.
14. Data protection
KUZU LOGISTICS processes personal data within the scope of contract performance in accordance with the applicable data protection laws.Further information can be found in our privacy policy at www.kuzu-logistics.com/datenschutzerklarung.
15. Place of jurisdiction and applicable law
(1) The law of the Federal Republic of Germany shall apply.
(2) If the client is a merchant, a legal entity under public law or a special fund under public law, Hamburg is agreed as the place of jurisdiction.
(3) In the case of consumers, the statutory provisions on the place of jurisdiction shall apply.
16. Severability clause
Should individual provisions of these GTC be or become invalid in whole or in part, the validity of the remaining provisions shall remain unaffected.The invalid provision shall be replaced by the statutory provision.
